Upon full payment for a project, intellectual property rights in the deliverables transfer to the client as specified in the applicable SOW. Payment terms are specified in each SOW. All amounts are in US dollars. Invoices are due within 15 days of issuance unless otherwise agreed. Late payments accrue interest at 1.5% per month. We reserve the right to suspend work on projects with outstanding unpaid invoices.
Both parties agree to keep confidential any non-public information shared during the course of a project. Mutual NDAs are available on request. This obligation survives termination of the business relationship for three (3) years.
We warrant that our Services will be performed in a professional manner consistent with industry standards. WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Either party may terminate a project engagement with 30 days' written notice. Upon termination, the client is responsible for payment for all work completed to the termination date. We will deliver all work product completed to that date.
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Any disputes shall first be submitted to non-binding mediation. If mediation fails, disputes shall be resolved by binding arbitration in Austin, Texas under the rules of the American Arbitration Association. Class action waivers apply.

Initial consultations and discovery calls are provided free of charge with no commitment. If a paid discovery engagement is agreed upon separately, fees for completed discovery work are non-refundable.
The initial project deposit (typically 30% of total project cost) is non-refundable once the project kickoff meeting has occurred and work has commenced. This deposit covers initial planning, team allocation, and onboarding activities.
Payments tied to completed milestones are non-refundable. If you cancel a project after a milestone is completed, you are responsible for payment for that milestone. We will deliver all completed work product to you upon cancellation.
If work delivered does not meet the specifications outlined in the signed SOW, we will revise the work at no additional charge within the number of revision rounds specified in your contract. If we are unable to meet the agreed specifications after good-faith revision efforts, we will work with you to reach a fair resolution, which may include partial credit toward future work.
You may cancel your project with 30 days' written notice. You will be invoiced for all work completed up to the effective cancellation date at the agreed hourly or milestone rate. Any overpayments will be refunded within 30 business days.
We reserve the right to cancel a project for non-payment, breach of contract, or if proceeding with the project would violate our policies or applicable law. In such cases, we will refund any prepaid amounts for work not yet performed.
